These Terms of Service ("Terms") are a legal agreement between you and [COMPANY LEGAL NAME], a company located at [ADDRESS] ("BldaB", "we", "us" or "our"). They cover your use of the BldaB website, dashboard, design-your-own builders, hosted pages and websites, apps and related services (together, the "Service").
Please read these Terms carefully. By creating an account, ticking the box to agree, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service for a business, "you" means that business, and you confirm that you have the authority to bind it to these Terms.
2.1 You must be at least 18 years old, or the age of majority where you live if that is older, and able to form a binding contract.
2.2 The Service is made for businesses that sell food and similar products. You confirm that you are using it for business purposes, not as a consumer. If consumer protection law still applies to you, you keep the rights it gives you.
2.3 You must give us true, current and complete information when you sign up, and keep it up to date.
2.4 You are responsible for your account, your password and everything that happens in your account. Keep your password private. Tell us right away at [CONTACT EMAIL] if you think someone has used your account without permission.
2.5 We may refuse to open an account, or close one, if we reasonably believe it breaks these Terms or the law.
2.6 You may not use the Service if you are subject to Canadian, US or other applicable trade sanctions, or in a country or region where the law does not allow us to provide it.
3.1 The Service lets you set up Builders for your products, show them on your own website or on a page or website we host for you, receive orders, and manage your business through a dashboard. Features may include AI preview pictures, AI product videos, a help assistant, pick-up calendars, promo codes, kitchen tickets, notifications and deposit payments.
3.2 We keep improving the Service. We may add, change or remove features at any time. If we remove a major feature you pay for, we will give you reasonable notice where we can.
3.3 Some features are offered as "beta", "preview" or "coming soon". They may not work fully and may change or end without notice.
3.4 We may set reasonable limits on use, such as the number of AI pictures, videos, uploads, Builders, help questions or file sizes, to keep the Service fair and working for everyone. Your Plan shows its limits.
3.5 We offer help through the help assistant in the dashboard and by email at [CONTACT EMAIL]. We try to answer quickly, but we do not promise a set response time unless your Plan says so. Answers from the help assistant are AI Output (see section 9.2).
4.1 New accounts may start with a free trial for the period and with the limits shown when you sign up (currently [14] days). No payment card is needed to start.
4.2 When the trial ends, your Builders and hosted pages switch off until you choose a paid Plan. Your account and settings stay saved so you can pick a Plan later, subject to sections 15.2 and 15.3.
4.3 We may change or end free trials for new accounts at any time. We may also refuse a trial to anyone who has already had one.
5.1 Prices. Prices and their currency are shown in the Service before you pay. They do not include taxes unless we say so.
5.2 Automatic renewal. Paid Plans renew automatically at the end of each billing period (monthly or yearly) at the then-current price, until you cancel. You authorize us and our payment processor, Stripe, to charge your payment method at the start of each billing period.
5.3 Taxes. You are responsible for all taxes that apply to your purchase of the Service, such as GST/HST, PST, QST or sales tax, except taxes on our own income. Where we are required to collect a tax, we will add it to your invoice.
5.4 Failed payments. If a payment fails, we will tell you and try again. Your Builders and hosted pages stay on for a short grace period (currently [3] days after your paid time ends). If the payment is still not made, they switch off until it is. Your settings are kept.
5.5 Price changes. We may change our prices. We will give you at least 30 days' notice before a new price applies to you. The new price starts at your next billing period after the notice period. If you do not agree, you may cancel before then.
5.6 Plan changes. You may move to a different Plan at any time. Changes and any credits or extra charges are handled as shown in the billing screen.
5.7 Usage limits. AI limits reset each calendar month, including on yearly Plans. Unused AI pictures or videos do not carry over to the next month and have no cash value. When you reach a limit, Customers can still send orders, but without new pictures, until your limit resets or you change Plans.
5.8 Refunds. Fees are not refundable, including for partly used billing periods, except where these Terms say otherwise (see section 20.2) or where the law requires a refund.
6.1 You may cancel your Plan at any time from the billing page in your dashboard. Your Plan stays active until the end of the billing period you have already paid for. It will not renew after that.
6.2 After your paid time ends, your Builders and hosted pages switch off. You can export your orders as a spreadsheet at any time before, and for [30] days after, your account ends (see section 15.3).
7.1 You are the seller. Every order made through your Builder is a sale between you and your Customer. BldaB is not a party to that sale. You are solely responsible for your products, prices, descriptions, pick-up and delivery, refunds, customer service and following all laws that apply to your business.
7.2 Food safety and allergies. You are solely responsible for the accuracy of every allergy label, ingredient, "contains" note and dietary claim you add (for example "Contains nuts", "Vegan" or "Gluten-free"). We aim to show labels as you set them, and you must check how they appear in your live Builders. We do not check whether they are correct, and they do not replace your own food-safety duties, labels or advice to Customers. You must follow all food-safety, labelling and licensing rules that apply to you.
7.3 Prices and promo codes. You set your own prices, extras, deposits and promo codes. Please check that the prices your Builders show are correct. We are not responsible for orders placed at a price you set by mistake.
7.4 Customer information. When Customers order, they share personal information (such as name, phone, email, address and photos) with you. You must handle it according to privacy laws that apply to you, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), provincial privacy laws (such as those of Quebec, British Columbia and Alberta) and the laws of any other place where you do business. You must not use it to send marketing messages without the consent required by Canada's Anti-Spam Legislation (CASL) and other laws. For this information, we act on your behalf as described in our Privacy Policy.
7.5 Your terms for Customers. You are responsible for any terms, cancellation rules or refund rules you offer your Customers. You must not tell Customers that BldaB makes, sells or guarantees your products.
7.6 Security. We use reasonable technical and organizational safeguards to protect Your Content and Customer Content. If we learn of a security breach that affects your Customers' personal information, we will tell you without unreasonable delay so you can meet your own legal duties. [Lawyer: consider a Data Processing Addendum.]
8.1 Deposits and other payments from Customers are handled by Stripe through your own Stripe account, which you connect to the Service. Your Stripe account is governed by your own agreement with Stripe, including the Stripe Services Agreement. We never hold or receive your Customers' money.
8.2 You are responsible for refunds, chargebacks, disputes and fees related to your Customers' payments, as set out in your agreement with Stripe.
9.1 Previews only. AI pictures and videos are computer-made previews to help Customers imagine their order. They may not match the finished product exactly, and colours, sizes, writing, decorations and details may differ. The Service is designed to show Customers a note saying so next to each preview picture. You are responsible for telling your Customers what they can expect to receive.
9.2 No guarantee of accuracy. AI Output can be wrong, incomplete or unexpected. This includes help answers and menus read from a photo. Always check AI Output before you rely on it, publish it or use it to make a product.
9.3 Similar results. AI Output may be similar to output made for others. We do not promise that it is unique.
9.4 Your use of AI Output. As between you and us, you may use AI Output made for your account in your business, for example on your website, social media or kitchen tickets, subject to these Terms and the law. We do not promise that AI Output is protected by copyright or free of other people's rights.
9.5 Outside providers. We use outside companies to make AI Output (for example picture, video and text AI services). Requests, including the choices, text and photos needed to make a picture, are sent to them only to provide the Service, as described in our Privacy Policy. These providers may process information outside Canada. [Lawyer: confirm each provider's data-use and training terms before launch.]
9.6 Things AI must not be used for. You must not use AI features to make pictures that are unlawful, hateful, sexual, violent, misleading or harmful, that show real people without their permission, or that copy other people's trademarks, logos, characters or artwork without permission.
10.1 You own Your Content. We do not claim ownership of Your Content. Customers keep any rights they have in Customer Content.
10.2 Permission you give us. You give us (and confirm that your Customers give us) a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, adapt (for example resize, convert or turn into pictures and videos), display and send Your Content and Customer Content, only as needed to provide, protect and improve the Service and as you direct. This licence lets us share this content with the service providers we use to run the Service. We do not sell Your Content or Customer Content, and we do not use it to train our own AI models. This licence ends when the content is deleted from the Service, except for copies we must keep by law or that remain for a short time in backups.
10.3 Promotion. We will not use your name, logo, Builders or Your Content in our advertising without your permission. We may name you as a client of BldaB only if you agree.
10.4 Your promises. You confirm that you own Your Content or have permission to use it, and that it does not break any law or anyone's rights, including copyright, trademark, privacy and publicity rights. This includes photos you upload, and any Customer photo you choose to print or use for an order.
10.5 Edible prints and Customer photos. You are responsible for deciding whether you have the right to print or reproduce a Customer's photo, logo or design. You should refuse orders that use other people's trademarks, characters or artwork without permission.
10.6 Removing content. We may remove or disable access to content that we reasonably believe breaks these Terms or the law, or that we are required to remove.
10.7 Copyright complaints. If you believe content in the Service breaks your copyright or trademark, email [CONTACT EMAIL] with your contact details, a description of the work, where the content appears, and a statement that you believe in good faith it is not authorized. We will follow the notice process required by law. [Lawyer: Canada's notice-and-notice rules; register a US DMCA agent if US Bakeries use the Service.]
You agree not to, and not to help or allow anyone else to:
12.1 The Service, including its software, designs, Builder templates, AI prompts and prompt templates, text, logos and trademarks, belongs to us or our licensors and is protected by law. Except for the rights we give you in these Terms, we keep all rights.
12.2 We give you a limited, non-exclusive, non-transferable, revocable right to use the Service during your free trial or subscription, for your own business, under these Terms. You may display your Builder embed code on your own websites only.
12.3 Feedback. If you send us ideas or suggestions, we may use them freely without paying you or owing you anything.
The Service works with services run by other companies, such as Stripe, website builders (for example Wix, Shopify, Squarespace and WordPress), email providers, and AI providers. Your use of them is governed by their own terms. We are not responsible for their services, and they may change or stop working with the Service. Website-builder steps in the Service are given to help you, and the other company's menus may change.
14.1 If you use a page or website we host, or point your own web address at the Service, you are responsible for the content on it and for keeping your web address registered and paid for.
14.2 We may change the web address of a hosted page if it is misleading, breaks someone else's rights, or is needed for the Service to work. We will tell you if we do.
15.1 By you. You may stop using the Service and cancel at any time (see section 6). You may also ask us to delete your account at [CONTACT EMAIL]. If you do, we will delete your data within [30] days, except as set out in section 15.3.
15.2 By us. We may suspend or end your access to all or part of the Service, with notice where reasonable, if:
Where it is fair and lawful, we will tell you why and give you a chance to fix the problem first.
15.3 Your data after the end. After your account ends, your Builders and hosted pages stop working. We keep your account data for [30] days so you can come back or export your orders. After that we may delete it, except for information we must keep by law (for example invoices and tax records) or that remains for a short time in backups.
15.4 What continues. Sections that by their nature should continue after these Terms end will continue, including sections 5 (for amounts owed), 7, 9, 10.2 (for content kept by law or in backups), 10.4, 12, 15, 16, 17, 18, 19, 21 and 22.
16.1 We work hard to keep the Service running well, but we provide it "as is" and "as available". To the fullest extent the law allows, we make no promises or warranties of any kind, whether express or implied, including that the Service will always be available, error-free or secure, that AI Output will be accurate, or that the Service will increase your sales.
16.2 We do not give legal, tax, food-safety or other professional advice. Information in the Service, including help answers, is general information only.
16.3 Some places do not allow certain warranties to be excluded. In those places, the exclusions above apply only as far as the law allows.
17.1 To the fullest extent the law allows, neither we nor our directors, employees, suppliers or partners will be liable to you for any indirect, special, incidental, punitive or consequential loss or damage, or for any loss of profits, revenue, sales, business, goodwill or data, even if we were told it might happen.
17.2 To the fullest extent the law allows, our total liability for all claims relating to the Service or these Terms will not be more than the greater of (a) the fees you paid us for the Service in the 12 months before the event that led to the claim, and (b) [CA$100].
17.3 To the fullest extent the law allows, we are not liable for: the products you make or sell; any orders, payments, refunds or disputes with your Customers; allergy or food-safety issues related to your products; differences between AI Output and a finished product; other companies' services; or anything caused by events outside our reasonable control.
17.4 Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, such as liability for fraud, or for death or personal injury caused by negligence.
You agree to defend, indemnify (compensate) and hold harmless us, our directors and our employees from any claims, losses, damages, fines and reasonable legal costs from other people (including your Customers and government bodies) that arise from: your products or business; Your Content and any Customer Content you choose to use; your use of the Service in breach of these Terms or the law; or your dealings with your Customers. We will tell you about such a claim promptly and let you control its defence, but you may not settle a claim that admits fault on our behalf without our agreement.
19.1 These Terms are governed by the laws of the Province of [Ontario] and the federal laws of Canada that apply there, without regard to conflict-of-law rules.
19.2 Before starting a legal claim, please contact us at [CONTACT EMAIL] so we can try to solve the problem. Both of us agree to try in good faith to settle the dispute within 30 days.
19.3 If we cannot settle it, the dispute will be decided only by the courts located in [Toronto, Ontario], and you and we agree to their jurisdiction. Either of us may still ask any court for urgent relief, such as an injunction to protect intellectual property or confidential information.
19.4 If you are a consumer and the law where you live gives you the right to bring a claim in your local courts or under your local laws, nothing in this section takes away that right.
20.1 We may update these Terms from time to time, for example to reflect changes to the Service or the law. If a change materially affects your rights, we will tell you by email or in the dashboard at least 30 days before it takes effect, unless the change is needed sooner for legal, safety or security reasons.
20.2 The "Last updated" date at the top shows when these Terms last changed. If you keep using the Service after a change takes effect, you accept the new Terms. If you do not agree, you may cancel before the change takes effect. If you cancel a yearly Plan because of a material change that reduces your rights, we will refund the unused part of your yearly fee.
21.1 Entire agreement. These Terms, together with our Privacy Policy and any order or Plan details shown in the Service, are the whole agreement between you and us about the Service.
21.2 Assignment. You may not transfer these Terms to anyone else without our written permission. We may transfer them, for example as part of a merger or sale of our business, and we will tell you if we do.
21.3 Events outside our control. We are not responsible for delays or failures caused by events outside our reasonable control, such as internet or power outages, failures of other companies' services, natural disasters, war, strikes or government action.
21.4 If part is invalid. If a court decides that any part of these Terms cannot be enforced, that part will be changed only as much as needed to make it enforceable, and the rest of these Terms stay in effect.
21.5 No waiver. If we do not enforce a right at one time, we can still enforce it later.
21.6 Notices. You agree that we may send you notices and other communications about the Service electronically, by email to the address in your account or by posting them in your dashboard. You may send notices to us at [CONTACT EMAIL] or [ADDRESS].
21.7 Relationship. You and we are independent businesses. These Terms do not create a partnership, joint venture, employment or agency relationship.
21.8 Language. These Terms are written in English. The parties have required that these Terms and all related documents be drawn up in English. Les parties ont exigé que la présente convention et tous les documents connexes soient rédigés en anglais. [Lawyer: since June 1, 2025, Quebec law requires a French version of a standard-form contract to be offered first; decide whether to provide one or not serve Quebec.]
21.9 Confidentiality. Each of us will keep private any non-public information we receive from the other about the other's business, and use it only for the purposes of these Terms, except where the law requires us to share it.
21.10 Headings. Headings are for convenience only. The words "including" and "for example" mean "including without limitation".
This section applies if you design or order a product through a Bakery's Builder, page or website. In this section, "you" means you as a Customer.
22.1 Your order is with the Bakery, not with BldaB. The Bakery sets the prices, makes the product and handles pick-up, delivery, payment, refunds and questions. Please contact the Bakery about your order.
22.2 Pictures and videos of your design are computer-made previews. The finished product is made by hand and may look different.
22.3 Allergy and diet labels are provided by the Bakery. If you have an allergy or dietary need, please speak to the Bakery directly before ordering.
22.4 If you are under 18, please order only with a parent or guardian's permission.
22.5 If you upload a photo or logo, you confirm you have the right to use it, and that it does not show anything unlawful or anyone else's protected characters, trademarks or artwork without permission.
22.6 Your information is shared with the Bakery so it can fill your order, and is handled as described in our Privacy Policy and the Bakery's own privacy policy.
22.7 Sections 9.1 to 9.3, 9.6, 11, 12, 16, 17.1, 17.3, 17.4 and 19 of these Terms also apply to you, as far as the law allows. By sending an order through a Builder, you agree to this section 22.
